1. Scope

These General Terms and Conditions apply to all offers, deliveries, services, consultations, technical documents, OEM inquiries, and business relationships between INFRAMEDIC AG, Caralweg 5, 7203 Trimmis, Switzerland, and its customers, partners, interested parties, or clients.

Any differing terms and conditions of the customer shall only apply if they have been expressly confirmed in writing by INFRAMEDIC AG.

2. Company

INFRAMEDIC AG develops patented and sensor-based infrared technologies, including SAFETY SENSE®, ONE-CONTROL, CORE-RADIANT 230, and CORE-FLEX 24. These technologies are intended for wellness, recovery, OEM, integration, and retrofit applications.

INFRAMEDIC products and systems are positioned as wellness, recovery, and technology applications. They are not approved as medical devices and do not make any therapeutic or healing claims.

3. Offers and conclusion of contract

All offers from INFRAMEDIC AG are non-binding and subject to change unless they are expressly designated as binding.

A contract is concluded when INFRAMEDIC AG confirms an order, project inquiry, or partnership inquiry in writing, or begins providing the service.

Technical information, illustrations, drawings, descriptions, and performance data are provided for general information purposes and may be adapted as part of technical development.

4. Prices and payment terms

Prices, delivery terms, license models, OEM conditions, and project costs are offered individually and agreed in writing.

Unless otherwise agreed, all prices are exclusive of statutory taxes, duties, shipping, customs, and transport costs.

Payments must be made within the period specified in the offer or invoice without deduction.

5. Delivery and provision of services

Delivery dates and project deadlines are only binding if they have been confirmed in writing. Delays due to force majeure, supply shortages, technical adjustments, or lack of cooperation by the customer shall extend agreed deadlines appropriately.

INFRAMEDIC AG is entitled to make partial deliveries or provide partial services, provided this is reasonable for the customer.

6. OEM integration and technical cooperation

For OEM projects, retrofits, and integration solutions, the customer is obligated to provide all necessary technical information, installation situations, specifications, and requirements in good time.

The final suitability of the technology for a specific product, project, or operating environment must be clarified as part of the technical coordination, testing, and approval process.

7. Intellectual property and proprietary rights

All trademarks, product names, technologies, patents, drawings, concepts, documentation, software logic, control algorithms, and technical documents remain the property of INFRAMEDIC AG or the respective rights holders.

Without prior written consent, documents, technologies, or system components may not be copied, passed on, replicated, modified, or made accessible to third parties.

OEM, co-branding, or licensing rights arise only through a separate written agreement.

8. Warranty

INFRAMEDIC AG warrants that delivered products and systems comply with the agreed specifications at the time of delivery.

The customer must inspect delivered goods or services immediately upon receipt and report any visible defects in writing.

Damage caused by improper installation, incorrect operation, unsuitable operating environments, unauthorized modifications, lack of maintenance, or non-approved components is excluded from the warranty.

9. Liability

INFRAMEDIC AG shall only be liable for direct damages caused by intentional or grossly negligent conduct, to the extent permitted by law.

Liability for indirect damages, consequential damages, loss of profit, production downtime, data loss, or damages resulting from improper integration is excluded to the extent permitted by law.

10. Data protection

INFRAMEDIC AG processes personal data in accordance with the Privacy Policy and the applicable data protection regulations.

11. Changes to the terms and conditions

INFRAMEDIC AG may amend these General Terms and Conditions if necessary. The version published at the time of contract conclusion or use shall apply.

12. Applicable law and place of jurisdiction

Swiss law applies. The place of jurisdiction, to the extent permitted by law, is the registered office of INFRAMEDIC AG.
